Client Responsibilities

Your Obligations

Project Information:

Communication:

  • Maintain regular communication throughout the project
  • Provide timely feedback on deliverables
  • Notify us of any changes in requirements

Payment:

  • Make payments according to agreed terms

  • Notify us of any billing disputes within 30 days
  • Maintain current payment method information

Legal Compliance:

  • Ensure all provided content complies with applicable laws

  • Respect intellectual property rights of others

Payment Terms

Pricing and Payment

Project Pricing:

  • Prices are quoted in US Dollars unless otherwise specified
  • All prices are exclusive of taxes, which you are responsible for
  • Pricing is valid for 30 days from the date of quotation
  • Additional work beyond the agreed scope will be charged separately

Payment Schedule:

  • 30% advance payment to commence development
  • 40% upon milestone completion (typically 50% project completion)
  • 30% upon final delivery and client approval

  • Other methods as mutually agreed

Late Payment:

  • Late payments incur a 2% monthly fee
  • Work may be suspended for payments overdue by 15 days

  • Refunds may be considered in cases of non-delivery due to our fault
  • Completed work and deliverables are not eligible for refunds

Intellectual Property Rights

Client-Owned IP:

Company-Owned IP:

  • We retain ownership of our proprietary tools, frameworks, and methodologies

Third-Party IP:

  • Any third-party assets or tools remain property of their respective owners

License Grant:

  • Upon full payment, we grant you a perpetual, worldwide, royalty-free license to use all deliverables

Confidentiality

Milestone Delivery:

  • Projects are delivered in predetermined milestones

Acceptance and Revisions:

  • You have 7 days to review and approve each milestone
  • Minor revisions are included in the original scope
  • Major changes may require additional time and cost

Force Majeure:

  • We are not liable for delays due to circumstances beyond our control
  • This includes natural disasters, government actions, or technical failures
  • We will make reasonable efforts to minimize any delays

Quality Assurance and Testing

Bug Fixing:

  • We may terminate immediately for non-payment or illegal activity
  • We may terminate with 30 days notice without cause

Effect of Termination:

  • All payment obligations become immediately due
  • We will deliver all completed work upon payment
  • Confidentiality obligations survive termination
  • Both parties release claims except for pre-termination breaches

Dispute Resolution

Resolving Conflicts

Negotiation:

  • Disputes should first be addressed through direct negotiation
